Terms and Conditions

Last updated: 29 September 2026 · Versiunea în limba română

Language. This is an informative English translation. The Romanian version at cecomand.ro/termeni-si-conditii is the binding one and prevails if the two differ.

In short. These Terms are your contract with MRD TECH HOLDINGS S.R.L., which operates Cecomand, and they apply on cecomand.ro, horeca.cecomand.ro and in the Cecomand apps, with or without an account. If you do not agree with them, do not use the Platform.

  • Prices are for information only. Every menu shows its source and the date it was updated; the price that applies is the one the venue charges when you pay (article 5).
  • The venue is the seller. We do not sell food and we are not a party to your contract with the venue; loyalty, balances and orders, once they exist, are a matter for the venue (article 3.2).
  • Your contributions. For the photos and corrections you send, you grant us a licence to use them on the Platform; they are checked by the community, the venue or our team (articles 6 and 13).
  • Adults only. Accounts are reserved for people aged at least 18 (article 2.2).
  • For venues. Claiming, managing the page and the Free and Pro plans are covered in articles 10 and 11.
  • Complaints. Write to us at [email protected] or call us on +40 746 666 068; we reply within 30 days at most. You can also turn to the National Authority for Consumer Protection (ANPC) or to the courts (article 22).

2. Acceptance of the Terms and conclusion of the contract

2.1. Conclusion of the contract

The contract is concluded at a distance, by electronic means (Law no. 365/2002 on electronic commerce and, for Consumers, Government Emergency Ordinance no. 34/2014). If you browse without an Account, the Terms apply to your use of the Platform. If you create an Account, directly or through Google or Apple, or accept an invitation to a Venue Team, the contract is concluded when you confirm, after you have declared that you are at least 18 years old and that you accept the Terms.

Technical steps: (1) you fill in the registration form (name, e-mail, password) or choose Google or Apple, if available; (2) you read the Terms and the Privacy Policy, which can be opened from the form; (3) you confirm the creation of the Account, and we confirm it to you on screen. Until then you can correct any field; afterwards, you correct your name and phone number in Profil și setări (Profile and settings), and we change your e-mail address on request, if you write to us at [email protected]. The contract is concluded in Romanian. The version of the Terms in force is permanently published at cecomand.ro/termeni-si-conditii, with its date, and you can save or print it; we do not keep a separate copy for each User, but we send you previous versions on request. We have not subscribed to any codes of conduct.

2.2. Capacity and representation

You can use the public pages without an Account. The Account — and therefore Contributions sent from an Account, votes, claims, Loyalty Programmes and payments — is reserved for persons aged at least 18 with full legal capacity: we read menu photos with a third party's artificial intelligence service whose terms exclude services used by minors, menus include alcoholic drinks, and paid features require full legal capacity. If we find out that an Account belongs to a minor, we close it and delete the data, except for data the law requires us to keep. If you accept the Terms on behalf of a company or other entity, you warrant that you have the authority to bind it, and "you" refers to both of you; we may verify this, but we are not obliged to.

2.3. Consumers and Professionals

The same person may be a Consumer when looking for a venue and a Professional when managing the Venue where they work. Provisions that apply to only one of these categories say so expressly. No provision excludes or limits the rights you have under mandatory consumer-protection legislation; in the event of conflict, the law prevails.

2.4. Contractual documents and order of precedence

The following apply, in this order: (i) the specific conditions displayed and accepted for a feature (for example the rules of a Venue's Loyalty Programme, the offer for a Top-up, the conditions of an Order, the offer for the Pro Plan), only for that feature and without reducing the rights you have under articles 7 and 8 or under the law; (ii) these Terms; (iii) for Venues, the data processing agreement in section 17 of the Privacy Policy. Otherwise, the Privacy Policy and the Cookie Policy (in Romanian) inform you about data processing, without being clauses imposed on you, and we comply with them. For the Apps, articles 20 and 21 prevail. Mandatory law always prevails.

2.5. Technical requirements

You need internet access and a current version of a common browser (Chrome, Edge, Firefox, Safari), with JavaScript and local storage enabled; the map also requires WebGL support. The Apps work on the versions of iOS and Android indicated in the stores. Permissions for location, camera, photos and notifications are optional, and the basic features work without them (for example, you search by city instead of by location). If your device or browser does not meet these requirements, some features may not work.

3. The Cecomand service

3.1. What Cecomand offers

You search for venues by name, type, cuisine, neighbourhood or city, in a list and on a map, and you see their Pages, with the menu, the prices, the source and the date of the update. From your Account you send and track Contributions, see your rank and badges and, with the required level, review other people's Contributions (article 6). Venues claim their Page free of charge and manage it from horeca.cecomand.ro: information, photos, menu (including automatic import from a photo or PDF), daily menu, team, suggestions, history, QR codes and synchronisation with the Freya point-of-sale (POS) system (article 10); they can ask us to contact them from the Pentru restaurante (For restaurants) page.

3.2. The role of Cecomand

Cecomand is an information platform and a technical intermediary. We are not a restaurant: we do not prepare, sell or deliver food or drinks, we are not a party to the contract between you and a Venue, and we do not issue loyalty points or Prepaid Balances. For the Content of Venues and Users we are a hosting service provider and an online platform within the meaning of Regulation (EU) 2022/2065 (the Digital Services Act, "DSA"); for Claimed Venues, we are an online intermediation service within the meaning of Regulation (EU) 2019/1150 (the "P2B Regulation"). We check information about Venues within the limits of the Terms, without becoming its author.

3.3. Free for users

Using the Platform as a Visitor or with a personal Account, including Contributions and reviews, is free of charge; you do not pay for Contributions and you do not receive money for them. Any paid feature for Consumers would apply to you only if you accept it expressly, after we have clearly shown you the price and the conditions.

3.4. Features in development

Loyalty Programmes, Prepaid Balances and their online Top-up, Orders at the table and for collection, photos of receipts, online billing of the Pro Plan, notifications and the Apps are not yet available. Until they are launched, they are not part of the Service and do not create rights or obligations, even if some screens already present them; articles 7 and 8 apply only from the moment the feature is activated for a Venue, with the specific conditions shown to you beforehand. Some features may exist only in certain cities or Venues.

3.5. The Apps

The Apps use the same Account, are free and are downloaded from the App Store or Google Play, whose terms apply in addition (articles 20 and 21). We tell you when an update is necessary for security or for the App to work, and we do not present an optional update as mandatory. We ask for permissions (location, camera, photos, notifications) only when you use the feature that needs them, and you can withdraw them at any time; before the first photo sent for automatic reading, we ask for your explicit permission. You can also delete your Account from the App, and we do not sell anything through the stores' payment systems.

4. The Account

4.1. Creating the Account

You create your Account with an e-mail address and a password or, if you choose this method and when it is available, through Google or Apple, with accurate and up-to-date data. Each person has a single Account, which is personal and non-transferable; multiple or fake Accounts are prohibited. If Google or Apple confirms that your e-mail address is verified and an Account with that address already exists, we automatically link the sign-in to that Account; otherwise we ask you to sign in with your password first. If you hide your address through Sign in with Apple, the Account uses Apple's relay address (ending in @privaterelay.appleid.com), through which your e-mails reach you. Signing in through Google or Apple is also subject to the terms of these providers.

4.2. Account security

You must keep your password and your sessions confidential, must not let anyone else use your Account and must notify us immediately, at [email protected] or on +40 746 666 068, of any unauthorised use or suspected compromise. You are responsible for what is done through your Account, except for unauthorised access that is not attributable to you. Resetting your password through the link you receive by e-mail („Ai uitat parola?” ("Forgot your password?")) closes, within one hour at most, the sessions on all your other devices; if you suspect that someone else is using your Account, reset your password in this way and let us know. If an Account appears to be compromised, we may close its sessions or temporarily suspend access.

4.3. One Account, several roles

With the same Account you can be a customer, a Contributor and a member of the Team of one or more Venues. You receive access to the management of a Venue only through an approved claim or an accepted invitation (article 10), and you use it in horeca.cecomand.ro.

4.4. Deleting the Account

You can delete your Account at any time, free of charge, from Profil și setări („Ștergerea contului” ("Account deletion")), from the account settings in the Apps or, if you no longer have access or do not want to reinstall the App, by asking us at [email protected] or on +40 746 666 068, after we have verified that you are the account holder. The sole Owner of a Venue must first add another Owner or ask us to close the Page (article 10.15). Once Prepaid Balances exist, an unused balance is not lost: you can use it beforehand or ask the Venue to refund the amount paid and not used (article 7.5); the Venue keeps its records in accordance with the law. Deletion is final and does not cancel contracts already concluded with a Venue. What we delete and what we keep (without your name) is described in section 9 of the Privacy Policy. Within 30 days at most we also delete all the menu files you sent as Contributions, including those published as the Original Menu, which we withdraw from the Venue Page; the menu information extracted from them (dishes, prices) remains in the menu, without your name (articles 6.7 and 6.8). Files uploaded on behalf of a Venue, from horeca.cecomand.ro, remain the Venue's.

4.5. Inactive Accounts

We may close an Account you have not signed in to for 36 consecutive months, after sending you an e-mail at least 30 days in advance; if you sign in in the meantime, the Account remains active. We do not close in this way an Account that holds an unused Prepaid Balance or the Account of the sole Owner of a Venue.

5. Venues, menus and prices

5.1. Where the information comes from

Information about Venues comes from Claimed Venues, through the Venue Team; from the Venue's POS, when it is connected; from public sources, in particular OpenStreetMap; from community Contributions, applied directly or after review (article 6.4); and from our team.

5.2. Freshness labels

  • „Sincronizat cu restaurantul” ("Synced with the restaurant") — the menu comes from the POS; we show the time of the last synchronisation (if it is old, synchronisation may have failed).
  • „Actualizat de restaurant” ("Updated by the restaurant") — the menu is managed by the Venue Team.
  • „Actualizat de comunitate” ("Updated by the community") — the menu comes from community Contributions, applied directly or after review; prices are indicative („prețurile pot diferi” ("prices may differ")).
  • „Actualizare necesară” ("Update needed") — the Venue's or the community's menu has not been updated for 120 days; we show the date of the last confirmation.

5.3. The informative nature of menus and prices

Menus and prices are provided for information only and are not an offer by Cecomand. The price that applies is the one the Venue charges when you buy — the one on the Venue's menu and on the fiscal receipt; community prices are indicative. Prices are shown in Romanian lei, as final prices, as communicated by the Venue, the POS or the community; we do not calculate discounts, previous prices or comparisons. The Venue is responsible for its information; we make reasonable efforts to keep it up to date, without guaranteeing that it is complete or accurate at all times.

5.4. Allergens and food labels

Allergens (the 14 listed in Annex II to Regulation (EU) No 1169/2011), ingredients, portion weights, nutritional values and additives are the responsibility of the Venue, as a food business operator; the community cannot change them. The labels „vegetarian”, „vegan”, „de post” ("Lenten"), „fără gluten” ("gluten-free"), „fără lactoză” ("lactose-free"), „picant” ("spicy") and „halal” are statements by the Venue, not certifications. If you have an allergy, an intolerance or a dietary restriction, ask the Venue's staff before you order; the absence of an allergen from the list does not mean that the dish does not contain it.

5.5. Other information about Venues

Opening hours, contact details, facilities (for example card payment or wheelchair access), price range, photos and descriptions may be incomplete or out of date; check directly what matters to you, especially accessibility. Without photos of its own, a Venue appears with a generic illustration of its category, which does not depict it.

5.6. How we rank results

The main parameters (article 7(4¹) of Law no. 363/2007, article 5 of the P2B Regulation):

  • What appears: published Venues that match the text searched for (name, type, cuisine, neighbourhood, city) and the filters chosen.
  • „Recomandate” ("Recommended", the default): currently in alphabetical order, so as not to favour any Venue.
  • „Cele mai apropiate” ("Nearest") and „Noi” ("New"): once the feature becomes available, they will order the list by distance from you and by date added (newest first), respectively; until then the list remains alphabetical. If you allow access to your location, the default option becomes „Cele mai apropiate”, and the map shows only the Venues within a radius of about 5 km around you.
  • Other lists: city pages highlight new Venues; neighbourhood and theme pages are alphabetical; „Poate îți place și…” ("You might also like…") first shows Venues in the same neighbourhood, then Venues with a cuisine in common, then new ones.
  • Payment makes no difference: no payment, no plan (including Pro) and no commercial relationship changes a Venue's position. We do not show advertisements.
  • Search engines: we offer for indexing only the Pages with a real menu (at least 5 dishes with a price); the order there is set by their operators.

We will mark any paid placements „Promovat” ("Promoted") and will update this section beforehand (article 23).

5.7. Maps and OpenStreetMap

The base maps are provided by OpenFreeMap, and the map in the Venue profile in horeca.cecomand.ro by the OpenStreetMap Foundation, both from OpenStreetMap data. Some information about Venues (name, address, position, opening hours, phone, website) comes from OpenStreetMap, © OpenStreetMap contributors, under the Open Database License (ODbL) 1.0 (openstreetmap.org/copyright); this information is not the exclusive property of Cecomand and remains under the ODbL, including with our additions, and the attribution appears on the Pages that use it. On request, we send you free of charge, in a machine-readable format, the data derived from OpenStreetMap or our modifications. Menus, prices and photos do not come from OpenStreetMap.

5.8. Correcting information

You can correct wrong information through a Contribution, by claiming the Page if you represent the Venue, or by writing to us at [email protected]. For illegal Content see article 13.3, and for the removal of a Page, article 10.15.

6. Community contributions

6.1. What you can send

From your Account you send photos or PDFs of the menu, which are read automatically and checked by you before sending, and corrections to a dish (price, name, description, unavailable or removed from the menu), with an optional note; as a Trusted Contributor you can also vote in reviews. You can propose a new Venue even without an Account. We will accept photos of receipts once the feature becomes available. For menus that come from a POS, the community cannot change the prices, but it can send photos and corrections to names or descriptions. You can send at most 30 corrections in 24 hours, and requests from the same IP address are limited, to prevent abuse.

6.2. Rules for Contributions

When you send a Contribution, you warrant that:

  • you have the right to send it (the photo is yours or you have its author's consent);
  • it is recent and faithful, without invented prices, and is not copied from delivery apps or from other websites;
  • you have hidden other people's data (names, faces, card numbers, personal identification numbers (CNP)) and you do not photograph people;
  • it does not contain prohibited Content (article 13.1) and is not aimed at manipulation (false prices, coordinated votes, multiple Accounts);
  • you are not in a conflict of interest: if you work for a Venue, you manage it from horeca.cecomand.ro, not through Contributions, and you do not send Contributions about competitors.

6.3. Automatic reading of menus

Photos and PDFs of menus are read automatically with the Gemini API, an artificial intelligence service of Google, provided to us by Google Cloud EMEA Limited (Ireland), as a processor. We use the paid services: files and results are not used to improve Google's products, but they may be retained by Google for up to 55 days to detect abuse and may also be processed outside the European Economic Area. We send only the file and the instructions, not your name or e-mail address. The reading may get a price wrong or leave out or add a line, which is why we show you the result, with uncertain lines highlighted, and you correct and confirm it; nothing reaches the menu without a person's confirmation. In the Apps, we ask for your explicit permission before the first photo sent for reading. Details are in section 5 of the Privacy Policy.

6.4. Review and publication

  • Unclaimed Venue (or claimed, but with an empty menu): changes by Trusted Contributors and Experts apply immediately, except those that raise a review flag — a price changed by more than ±30%, the removal of a dish or more than 20 changes at once. The others go to community review and are decided by two matching votes of Trusted Contributors or by the vote of an Expert or of the Cecomand team.
  • Claimed Venue: Contributions become suggestions, and the Venue Team decides (article 10.7).

You can see the status of menu photos and corrections on the Contribuții (Contributions) page, with the reason for any rejection („Nu corespunde realității” ("Does not match reality"), „Informație depășită” ("Outdated information"), „Deja propus” ("Already proposed"), „Spam”, „Alt motiv” ("Other reason")). A proposed Venue appears on Cecomand after approval; if the proposal is rejected („Există deja pe hartă” ("Already on the map"), „Nu este un local” ("Not a venue"), „Locația e greșită” ("The location is wrong"), „S-a închis” ("It has closed"), „Spam”, „Alt motiv”), we send you the reason by e-mail, to the address given in the proposal. We may at any time correct or remove a published Contribution or revert to a previous version of the menu.

6.5. Trust level and rank

The trust level (internal) is calculated automatically from a score based on the age of the Account (capped at 10 months), on accepted and rejected Contributions (spam weighs more) and on votes that did or did not match the final decision. The levels are Nou (New), Contributor, De încredere (Trusted) and Expert. From the De încredere level upwards, your changes to unclaimed Venues apply immediately and you can review other people's Contributions; an Expert's vote decides on its own. Our team can set the level manually, up or down. We do not show you the score in your Account, but it is seen, together with the level, by the Trusted Contributors who review your Contributions and by the Team of the Claimed Venue to which you send suggestions (article 6.6). On request, we tell you your score and level and explain how they were determined, and you can ask for them to be reviewed by a person (article 13.5).

The rank (shown in your Account, not on public pages) is based on points for accepted Contributions (for example 2 for a correction, 10 for a menu photo or a new Venue, 1 for a confirmed vote), which do not decrease; the ranks are Nou (New), Contributor, Cunoscător (Connoisseur) and Expert, and badges are not withdrawn. Points, ranks, badges and levels have no monetary value, cannot be transferred, sold or exchanged for money or products, and are not loyalty points of any Venue. Venues do not offer points, money or other benefits for Contributions.

6.6. Who sees your Contributions

  • The public sees only „Actualizat de comunitate” and the date, without any names.
  • Trusted Contributors who review see your alias (your first name and the initial of your surname, for example "Andrei P.", or „Un contributor” ("A contributor"); for a Venue proposed without an Account, the first word of the contact name or „Anonim” ("Anonymous")), your trust level and score, the number of your accepted and rejected Contributions, the notes, the Google Maps link and the evidence photos, through links valid for 5 minutes.
  • The Team of a Claimed Venue sees in the suggestions the alias, the trust level and score, the number of accepted and rejected Contributions, the notes and the evidence photos; it also sees all the Venue's menu files, without the name of the person who uploaded them, as well as the menu history and the activity log, with the aliases.
  • The Cecomand team sees your full identity when moderating.

Menu files are not public until our team or the Venue Team publishes them as the Original Menu.

6.7. The licence you grant us

You remain the holder of the rights in your Contributions and you grant us a non-exclusive, royalty-free, worldwide licence, for the term of legal protection, to store, reproduce, process (including by automatic text extraction), adapt (cropping, resizing, re-encoding, removal of metadata), combine with the Venue's menu and display publicly on the Platform and in its presentations. The licence may be sublicensed to the Venue concerned, which may publish your photo as the Original Menu on its Page on Cecomand, and to our providers, to the extent they need it. For a menu file (photo or PDF), the licence and the sublicences end when we delete the file, at your request or after the deletion of your Account (article 6.8); for the menu information extracted from it (dishes, prices), which remains in the menu without your name, the licence continues.

If you are a Consumer, after the contract ends we no longer use your Content that is not personal data, except for menu information generated jointly with other Users, Content that has no use outside the Platform or that relates only to your activity on it, and aggregated data that cannot be disaggregated (article 15 of Government Emergency Ordinance no. 141/2021). Before deleting your Account, or within 30 days afterwards, you can ask us free of charge for a copy of your files, which we send you in a commonly used, machine-readable format within 15 calendar days at most.

6.8. Withdrawing a Contribution

While you have an Account, you can ask us at any time, at [email protected], to delete a menu file (photo or PDF) you sent, whether or not it has been published as the Original Menu, and we delete it within 30 days at most, first withdrawing it from the Venue Page if it is published. When you delete your Account, we do this, within the same period, for all the files you sent as Contributions (article 4.4). Information already extracted into the menu (dishes, prices) remains, with no link to your identity, and proposals, votes and decisions remain in the moderation history, without your name once your Account has been deleted.

6.9. Proposing a Venue

You can propose a Venue from the Adaugă un local (Add a venue) page, with or without an Account: its basic details, its position on the map, confirmed by you, optionally its Google Maps link (we use only the link's URL; we open a short link at Google only to find out its full URL, without loading the Google Maps page), plus your name and e-mail address, which only our team sees; those who review the proposal see only a short name (article 6.6). If you send the proposal without an Account, you accept these Terms for it, in particular articles 6.2, 6.7 and 13.1. Tick „Reprezint acest local” ("I represent this venue") only if you are its owner, administrator or manager. If you are signed in with the De încredere or Expert level, the Venue appears immediately; otherwise it is reviewed by Trusted Contributors or by our team, who also see existing Venues less than 150 m away, with no guaranteed time frame. The proposal does not give you any rights over the Page; for that, you claim it.

6.10. Rules for reviewers

As a Trusted Contributor you vote in Verificări (Reviews) on the basis of the evidence, not on your own submissions or on Venues you are connected with (as an employee, owner or competitor), without coordinating with others; you choose the appropriate reason, and your note must be objective and contain no personal data. You may use what you see in reviews (photos, aliases, levels and scores, notes, links) only for the review and must not save or share it. You are not paid and you do not represent us; if you break the rules, we can lower your level and withdraw your access.

7. Loyalty programmes, prepaid balances and top-ups

7.1. Availability

Loyalty Programmes, Prepaid Balances and Top-ups are not yet available. This article applies only once a Venue activates them, and the rules or the offer will be shown to you before you take part or pay.

7.2. The programme belongs to the Venue

Each Loyalty Programme belongs to a single Venue, which sets its rules (earning, rewards, validity, changes). We provide the technology, without issuing the points or granting the rewards. For the data in the programme and in the Prepaid Balance, the Venue and Cecomand are joint controllers (article 26 of Regulation (EU) 2016/679, the "GDPR"); the essence of the arrangement is set out in section 2 of the Privacy Policy.

7.3. Joining and leaving

Participation is optional: you join only with your consent, after seeing the rules, and you can leave at any time. Rewards do not depend on enabling location or notifications.

7.4. Points and rewards

A Venue's points and rewards have no monetary value and cannot be exchanged for money, transferred or used at another Venue. The rules for points already earned do not change retroactively, and changes for the future are announced to you in advance.

7.5. The Prepaid Balance

The Prepaid Balance is issued by the Venue, which is the seller, and can be used only at that Venue (or at the locations of the same brand, if the offer expressly says so). It is not electronic money or a bank deposit, is not covered by a guarantee scheme, cannot be transferred and cannot be exchanged for money, except for statutory refunds, the refunds under article 7.7 and the amount paid and not used, which the Venue refunds to you on request, through Stripe, when you close your Account or when the balance expires. The period of validity, if the Venue sets one, is at least 24 months and is shown to you before payment, together with the bonus; we notify you before it expires. If the Venue closes or stops using Cecomand, it remains obliged to honour or refund the unused Prepaid Balance, and we help you with the transaction history.

7.6. Online Top-up

When Top-up is active, you choose an offer (amount paid, amount credited, bonus) and pay on Stripe's secure page: the payment is processed by Stripe Payments Europe, Limited (Ireland), and the regulated payment services are provided by Stripe Technology Europe, Limited, directly to the Venue, which is the seller and the payee. Your card details go to Stripe, not to us. The balance is credited after Stripe's confirmation, and the confirmation reaches you by e-mail. Cecomand does not receive, hold or control your money; we may receive a commission from the Venue, which is not added to your price. If you want to be able to use the balance during the 14 days in which you can withdraw (article 7.7), you must expressly request this before payment, and we confirm your request by e-mail. The final button clearly states that you are under an obligation to pay.

7.7. Right of withdrawal

As a Consumer, you can withdraw from a Top-up within 14 days of payment, without giving any reason and at no cost: using the „Retrage-te din contract aici” ("Withdraw from the contract here") function, displayed in your Account next to each Top-up for the whole of this period, and the „Confirmă retragerea” ("Confirm withdrawal") button, or by an unequivocal statement sent to [email protected] (you may use the model form in Annex 1, Part B to Government Emergency Ordinance no. 34/2014), which we pass on to the Venue. We confirm by e-mail, with the date and time. The Venue refunds you the unused amount, through Stripe, within 14 days at most, using the same payment method; the part used at your express request under article 7.6 is not refunded (article 8(8) and article 14(5) of Government Emergency Ordinance no. 34/2014), the bonus is not paid out in money, and the calculation is shown to you in the offer.

7.8. Discrepancies and complaints

For incorrect points or an incorrect Prepaid Balance, contact the Venue first, as it keeps the records; we help you with the history and pass your complaint on to the Venue. For payments (double payment, balance not credited) write to us at [email protected]; we check with the Venue and Stripe and reply within 30 days at most. The Venue is responsible for the balance and the rewards, and we are responsible for the technical functioning of the Platform.

8. Orders at the table and for collection

8.1. Availability

Orders at the table and for collection are not yet available („în curând” ("coming soon")); this article applies only in the Venues that will offer them, from the moment they are activated.

8.2. The contract is concluded with the Venue

The sale is concluded between you and the Venue, the Professional and seller, which is responsible for the preparation, quality, safety and conformity of the products, for the mandatory food information and for the fiscal receipt or invoice. We transmit the Order and, for online payment, facilitate the payment through Stripe, without being a party to the sale. The contract is concluded when the Venue confirms the Order, and the confirmation reaches you by e-mail.

8.3. Prices, taxes and payment

Before confirming, you see the products, the total price including taxes, any additional cost charged by the Venue (for example a service charge), the payment methods, the allergens and the other mandatory food information (Regulation (EU) No 1169/2011, ANPC Order no. 201/2022), for which the Venue is responsible. The final button bears the words „Comandă cu obligație de plată” ("Order with obligation to pay") or an equivalent wording. Online payment goes through Stripe directly to the Venue, as in article 7.6.

8.4. Alcoholic drinks

Alcoholic drinks can be ordered only from the age of 18; the Venue may ask for an identity document and may refuse to serve you.

8.5. Right of withdrawal

There is no right of withdrawal for food prepared to order or perishable food (article 16(c) and (d) of Government Emergency Ordinance no. 34/2014), nor for food and drink services ordered for a specific date or time (article 16(l)). For other products, we tell you in advance whether you have this right and how to exercise it.

8.6. Problems with an Order

For products (wrong order, quality, allergens), contact the Venue's staff first; for payment or the Platform, write to us at [email protected]: we reply within 30 days at most and, where appropriate, pass the complaint on to the Venue. Refunds are made by the Venue, through Stripe, using the same payment method.

9. QR codes on tables

Cecomand QR codes have the address cecomand.ro/q/ followed by an 8-character code and open the Venue Page, with the table label, without an Account or an app. For the Venue's statistics we record the code, the Venue, the table, the time and the type of device, without the IP address; to count repeated scans only once, we keep for 30 minutes an irreversible fingerprint calculated from the code, the IP address and the browser identifier. A Cecomand code does not ask you for your card details: payments, once they exist, are made only on Stripe's secure page, opened from the Platform. If a code seems to have been stuck over the original one or takes you to another address, tell the staff and write to us at [email protected].

10. For venues: the page, claiming and management

10.1. Pages created without registration

We may publish Venue Pages without the Venues registering, based on public sources (in particular OpenStreetMap), Contributions and information added by our team. They contain factual information, and we use the Venue's name only to identify it. An unclaimed Venue has no contract with us and pays nothing; it can claim its Page free of charge or ask us to correct or remove it (article 10.15).

10.2. Claiming

Claiming is free of charge and is done from Revendică localul (Claim the venue), from your personal Account, as owner, administrator or manager. We use the phone number we ask you for only for questions about the verification. We confirm that you represent the Venue by means of:

  • A code sent to the Venue's e-mail: 6 digits, sent to the Venue's e-mail address that we hold (which you see partly hidden), valid for 24 hours; at most 5 codes, at least one minute apart, and at most 5 wrong attempts. The e-mail tells the Venue who requested the claim — your name or, if there is no name in your Account, your e-mail address — so that the request can be refused if it is not recognised. The correct code approves the claim automatically.
  • Documents: the company's registration certificate, a contract or a power of attorney, in PDF, JPEG or PNG format, of at most 10 MB each, at most 5 documents, checked by our team, usually within 1–2 working days; you can delete them until the decision is made. Do not upload identity documents, and hide the CNP.

Our team may also verify by telephone, at the Venue's published number, by giving you a code. You can have only one open request for a Venue; if several people claim it, the approval of one request rejects the others. A Venue that has already been claimed can no longer be claimed online: send any disputes to us at [email protected]; we decide them on the basis of documents and may appoint an Owner by invitation. You receive the reason for a rejection by e-mail and can challenge it by writing to us with the Venue's documents. After approval you become an Owner, we create a brand for the Venue (or add it to yours), the menu passes to the Venue, Contributions become suggestions, and the Venue is managed from horeca.cecomand.ro, with the same Account. By claiming, you accept these Terms on behalf of the Venue; the clauses listed in article 24.6 apply to it after you accept them separately, as provided in that article.

10.3. The Venue Representative's statements

You warrant that you have the right to represent the Venue and to accept the Terms on its behalf, that the information and documents are genuine and that you will tell us if you lose this right. We may refuse, suspend or cancel a claim if there are indications that you do not represent the Venue, giving reasons as provided in article 10.13; false statements may give rise to civil and, where applicable, criminal liability.

10.4. Management in horeca.cecomand.ro and the team

The default roles are: Proprietar (Owner) — all rights, including future ones; the role cannot be changed, and the Venue always has at least one Owner; Manager — the profile, menu, suggestions, QR codes, statistics, reports, team, activity log and POS; Personal (Staff) — only the availability of dishes; Contabil (Accountant) — the reports. Owners can create custom roles, and a member can manage only roles with fewer rights than their own. Invitations are sent by e-mail, are valid for 7 days and can be accepted only with the invited address. Owners and managers see the members' names, e-mail addresses, phone numbers, roles and last activity. The Owner is responsible for who has access to the Venue and must tell the members what data about them their colleagues can see. As between the Venue and us, the acts of its members on the Platform are acts of the Venue.

10.5. The Venue's Content and obligations

The Venue is responsible for the Content it publishes or synchronises and undertakes: to publish correct and up-to-date menus, prices and information; to display final prices, including VAT where it owes VAT, and, where applicable, the portion weight and the unit price; to publish and update the allergens and the other mandatory food information (Regulation (EU) No 1169/2011, ANPC Order no. 201/2022); to use only photos, logos and texts it has the right to use; not to publish misleading Content (fictitious discounts, prices not actually charged, unfounded labels); and to comply with the law applicable to its activity, including the rules on alcohol. We may correct, hide or remove Content that breaches the law or the Terms, giving reasons as provided in article 10.13.

10.6. The licence granted by the Venue

The Venue retains the rights in its name, logo, photos, texts and menus and grants us, for the duration of the relationship, a non-exclusive, royalty-free, worldwide licence to store, reproduce, adapt (resizing, re-encoding, removal of metadata, text extraction), display and communicate them to the public on the Platform and in its additional channels: search engines (indexing, sitemap, structured data), maps and link previews, the Apps and screenshots in presentations of the Platform. We may sublicense it to our providers, to the extent they need it. We do not sell the Venue's Content and we have no affiliate programmes.

10.7. Community suggestions

For a Claimed Venue, Contributions go to the list of suggestions, with the data listed in article 6.6. The Venue Team accepts, modifies or rejects them in good faith: the reasons „incorect” ("incorrect") and „spam” lower the Contributor's trust level, the others do not, so do not use them to penalise anyone unfairly. Data about Contributors may be used only to decide on the suggestions.

10.8. POS integration

The Venue can connect its POS; at present we offer the Freya integration, using the access credentials of the Venue's Freya account. By connecting, the Venue warrants that it has the right, under its contract with the POS provider, to give us access, and authorises us to read on its behalf only the catalogue (categories, products, prices, VAT, availability, display order, locations); we do not read orders, customers, receipts or staff data. The password and the API key are stored encrypted. Synchronisation takes place every 1, 6 or 24 hours or manually. The POS is the source of truth for prices and availability, and the Venue is responsible for them; we are not liable for POS errors that are not attributable to us (articles 17.4 and 17.5). On disconnection, the menu reverts to the Team, and the access credentials are deleted.

10.9. QR codes and statistics

The Venue Team generates, prints, revokes or regenerates QR codes for the Venue and its tables (at most 200), with aggregated statistics that do not identify individuals. The Venue is responsible for where the codes are placed and must check periodically that they have not been replaced.

10.10. Menu files and their publication

The Venue Team can upload photos or PDFs of the menu, which are read automatically, and sees all the Venue's menu files, including those of Contributors, without their identity. The Venue Team or our team can publish a file as the Original Menu, and withdraw or delete it; until then, files are private. A Contributor's file is published only on Cecomand, and we withdraw and delete it if the Contributor asks us to or deletes their Account (articles 6.7 and 6.8); the menu information extracted from it remains. An automatically imported menu reaches the editor only after a person has confirmed it, and the Venue is responsible for it.

10.11. Ranking, differentiated treatment and parity

Ranking follows article 5.6, without any influence from the Pro Plan or from any payment. We do not sell food and we do not operate Venues, so we do not favour offers of our own; we apply the same rules to everyone, with the differences that result from the plan or from the source of the menu. The Venue may sell the same products at other prices or on other conditions through any other channel; we do not impose parity. Ancillary services — the POS integration and, once they exist, payments through Stripe (article 11.10) — are optional. The Venue may present its own services free of charge through the links on its Page (website, bookings, Instagram).

10.12. Access to data

The Venue sees its Page data, its menu and the menu history (the last 100 versions), the suggestions, the menu files, the Team, the activity log (kept for 12 months), the QR statistics and the POS synchronisations and, once they exist, the data needed for its loyalty programme, Prepaid Balances and Orders. We see the same data, for the Service, security, moderation and legal obligations, without selling it; the aggregated and anonymised statistics we use do not identify an individual Venue among the others. The Venue does not receive aggregated data about other Venues or about all Users. We share the Venue's data only with our providers, with the connected POS provider, with Stripe if the Venue activates payments, and with the authorities when the law so requires. After termination, for at least 30 days, the Venue may ask us for a copy of the data it provided or generated (profile, menu, its own photos, history, QR codes, statistics), which we send free of charge within 30 days at most, in a structured, commonly used and machine-readable format; we then delete or anonymise the data, except for data required by law, data needed to defend a right and the factual information of an unclaimed Page. For the personal data of the team and of the activity in horeca.cecomand.ro we are the Venue's processor, in accordance with section 17 of the Privacy Policy.

10.13. Restriction, suspension, termination

We may restrict, suspend or terminate, in whole or in part, the Service for a Venue only for: breach of the law or of the Terms by the Venue or its Team; false statements when claiming or a dispute over representation; risks to the security of the Platform, of data or of Users; non-payment for the Pro Plan (only for the Pro features); a request from an authority or a legal obligation; the permanent closure of the Venue; and, once payments exist, suspected fraud. We communicate the reasons — the specific facts and the grounds — to the Venue by e-mail before the measure takes effect or, at the latest, when it does. We give at least 30 days' notice by e-mail, with reasons, of the termination of the whole Service, except where there is a legal obligation to terminate immediately, an imperative reason provided for by law or repeated breaches, in which case the reasons are communicated without delay. The Venue may clarify the facts through the procedure in article 10.14; we reverse an unjustified measure and restore access, including to the data. The Venue may end the relationship at any time, without reason or cost, by cancelling the Pro Plan and asking for its Page to be closed or returned to unclaimed status.

10.14. Complaints from Venues

Venues can send us complaints free of charge at [email protected] about our obligations, technical problems, measures taken against them, ranking or rejected claims. They are examined by a person on our team, and the reply is sent by e-mail within 30 days at most. As a micro-enterprise, we are not subject to the obligations in articles 11 and 12 of the P2B Regulation (internal complaint-handling system, mediators), but we are open to mediation under Law no. 192/2006.

10.15. Removal of the Page on request

Any Venue may ask us at [email protected] to remove its Page; after verifying the request, we remove or withdraw the Page within 30 days at most, except for information the law requires us to keep. If a request concerning an unclaimed Page does not come from the Venue or its representative and the Venue is operating, we may keep only the basic public information, but, where the request is justified, we prefer removal. Data from OpenStreetMap remains there, under the ODbL.

11. Plans for venues: Free and Pro

11.1. The Free Plan

Every Claimed Venue has the Free Plan: the Page and the menu, the editor and automatic import, the suggestions, the team and the QR codes. The Free Plan does not expire and does not turn automatically into a paid plan; we will not charge fees for the features included in the Free Plan without your express consent. Its features may evolve in accordance with article 16.2.

11.2. The Pro Plan: content and conclusion

The Pro Plan is a paid plan, per location, with the features set out in the accepted offer or order; features marked „în curând” become part of the plan only when they are launched. Some features currently available to all Claimed Venues (for example the POS integration) may be reserved for the Pro Plan, after notice in accordance with article 23.3. The Pro Plan is contracted outside the Apps, through our sales team (from the Pentru restaurante page or at [email protected]) and, once it exists, through the online order in horeca.cecomand.ro; the contract is concluded when the Venue accepts the offer or order and we confirm it by e-mail.

11.3. Prices and VAT

The price is per location and per month, as set out in the accepted offer or order; the „de la” ("from") price on the website is indicative. MRD TECH HOLDINGS S.R.L. is not, at the date of this version, registered for VAT purposes; prices do not include VAT. If this status changes, we will notify you at least 30 days in advance and you may give up the plan.

11.4. Invoicing and payment

The Pro Plan is invoiced monthly, in advance, per location, using the billing details provided by the Venue, which is responsible for them. The invoice is sent by e-mail and through RO e-Factura, as required by law, and is paid by the due date stated on it, by bank transfer or, once this becomes possible, by card, through Stripe. The Venue bears the taxes it owes.

11.5. Renewal and cancellation

The Pro Plan renews automatically every month until it is cancelled, which the Venue can do at any time by writing to us or, once this becomes possible, from horeca.cecomand.ro. Cancellation takes effect at the end of the paid month; the Venue then continues on the Free Plan, with its data kept. The current month is not refunded, except as provided in articles 11.7, 16.2, 16.3 and 19.3 or where we have agreed otherwise in writing.

11.6. Non-payment

If an invoice is not paid by its due date, we write to the Venue and give it 15 days' grace; we then suspend the Pro features until payment, with the data kept and the Free Plan active. Arrears may bear penalty interest under Law no. 72/2013, and reactivation may depend on their payment.

11.7. Price changes

A new price applies from the first month that begins at least 30 days after notification by e-mail; a Venue that does not accept it may cancel beforehand, at no cost, with a proportionate refund of the amounts paid in advance for the period after the change.

11.8. No purchases in the Apps

The Pro Plan cannot be bought from the Apps, which contain no buttons, links or calls to action to buy it; its payments do not go through the App Store or Google Play.

11.9. No right of withdrawal

The Pro Plan is intended for Professionals, so the 14-day right of withdrawal, which is reserved for Consumers, does not apply.

11.10. Payments collected by the Venue through Cecomand

Once online payments exist, a Venue that receives them: opens an account connected to Stripe and expressly accepts the Stripe Connected Account Agreement, which includes the Stripe Terms of Service and is concluded directly with Stripe, while Stripe collects the Venue's identification data as an independent controller and processes it in accordance with the Stripe Privacy Policy; is the seller and the merchant of record, issues the tax documents and is responsible to its customers; bears the Stripe fees, refunds and payment disputes (chargebacks); pays us the platform fee set out in the specific conditions accepted, if any; authorises us to exchange with Stripe the necessary data about the account and the transactions, and gives us the tax data that we, as a platform operator, report to the National Agency for Fiscal Administration (ANAF) under the DAC7 rules (Directive (EU) 2021/514), when the law so requires. Cecomand does not receive, hold or control the money of the Venue's customers.

12. Acceptable use

Use the Platform in good faith and for the purposes for which it was created; you may freely share links to Venue Pages. You must not:

  • automatically extract Content (scraping, bots, systematic downloads) or republish or resell menus, prices or photos without our written consent; data about Venues derived from OpenStreetMap, including our additions, remains under the ODbL: we send it to you free of charge, on request, in a machine-readable format (article 5.7), and you may reuse it in accordance with that licence;
  • train artificial intelligence models on the Platform's Content without our consent;
  • circumvent limits or security measures, attempt unauthorised access to Accounts, to Venues' data or to our systems, or overload the Platform (report to us any vulnerabilities you discover, without exploiting them);
  • create fake or multiple Accounts, sell Accounts, manipulate prices, reviews, points or levels, or impersonate someone else (including a Venue Representative or a member of our team);
  • publish prohibited Content (article 13.1), upload malicious software or decompile the Apps, except where permitted by law.

13. Content moderation and reporting illegal content

13.1. What is not allowed

The following are not allowed: illegal Content (for example defamatory or fraudulent Content, or Content that incites hatred or violence) or Content that infringes intellectual property rights; other people's personal data published without the right to do so (names, faces, card numbers, CNP, private phone numbers); false or misleading Content (invented prices, menus of other Venues, non-existent Venues, false claims); offensive, obscene, discriminatory or harassing Content, or spam; manipulation of reviews, levels or points; malicious software.

13.2. How we moderate

Automated tools — the automatic reading of menus, with uncertain lines highlighted, the review flags in article 6.4, the daily and per-IP-address limits and the automatically calculated trust level — determine whether a Contribution applies immediately or goes to review, refuse submissions above the limits and, through the trust level, grant or withdraw access to reviews and to immediate application, also determining the weight of each vote (an Expert's vote decides on its own); a claim with the correct code is approved automatically, and the other requests for the same Venue are rejected. These tools do not remove published Content and do not suspend Accounts. Human review is carried out by Trusted Contributors, by voting, by the Venue Team, for its own Venue, and by the Cecomand team, which has the final say, can reverse any decision and examines reports.

The measures, proportionate to the seriousness of the case, are: rejecting a Contribution; removing, hiding or correcting Content; reverting to a previous version of the menu; withdrawing an Original Menu; lowering the trust level or withdrawing access to reviews; limiting Contributions; suspending or closing the Account; restricting a Page or certain features; and, once payments exist, restricting payments or Prepaid Balances in the event of fraud. We apply them diligently, objectively and proportionately, having regard to the rights of those involved, including freedom of expression.

13.3. How to report illegal Content

Anyone can report Content they consider illegal, from the App, once the feature becomes available, or at [email protected], stating: (a) the reasons; (b) the exact link or the information that allows us to find the Content; (c) their name and e-mail address, except for reports concerning child sexual abuse; (d) a statement that the information is, to the best of their knowledge, correct and complete. We confirm receipt, examine the report diligently and without undue delay and communicate our decision, stating whether we used automated means, as well as the means of redress. You can also report breaches of the Terms to us at the same address. We pass on to the authorities information about criminal offences that threaten someone's life or safety.

13.4. Statement of reasons

When we restrict your Content or your Account — we reject or remove a Contribution, hide or demote Content, suspend or close the Account, restrict features or, once they exist, payments — we tell you, if we have your contact details: the measure and its scope, the facts (including whether it was prompted by a report), whether we used automated means, the rule or legal provision breached and the means of redress. For menu photos and corrections, the reason appears in your Account, on the Contribuții page; for a proposed Venue and for the other measures, you receive it by e-mail. For Venues, article 10.13 also applies.

13.5. Appeals

You can appeal free of charge against a decision under article 13.4 or against the decision on your report, within 6 months at most, at [email protected], giving your reasons. The appeal is examined by a person on our team, and you receive a reasoned reply within 30 days at most; if you are right, we reverse the measure. We offer this procedure voluntarily: as a micro-enterprise, we are not subject to the obligations in article 20 of the DSA.

13.6. Misuse

After a warning, we may suspend, for a reasonable period, Accounts that frequently publish manifestly illegal Content or manifestly false Contributions, and we may suspend the processing of reports or appeals from those who frequently submit manifestly unfounded ones, deciding case by case, according to the number, seriousness and consequences of the breaches and the intent behind them. In serious cases (fraud, attacks) we may act immediately.

13.7. Points of contact

The single point of contact for the authorities of the Member States, the European Commission and the European Board for Digital Services, as well as for Users (articles 11 and 12 of the DSA), is [email protected], telephone +40 746 666 068, in Romanian and English; you are answered by people, not only by automated tools.

13.8. Other remedies

You can lodge a complaint with the National Authority for Management and Regulation in Communications (ANCOM), the Digital Services Coordinator in Romania (Law no. 50/2024), Str. Delea Nouă nr. 2, Sector 3, Bucharest, ancom.ro, or, if you are in another Member State, with the Digital Services Coordinator there (article 53 of the DSA), and you can go to court at any time, without first using our appeal procedure.

14. Intellectual property

14.1. The Platform and the Cecomand trade mark

The Platform, the Apps, the Cecomand trade mark and logo, the design, code, texts, illustrations and documentation belong to us or to our licensors and are protected by Law no. 8/1996 on copyright and related rights and by trade-mark legislation.

14.2. Content of Venues and Contributors

The names, logos, photos and menus of Venues belong to them; we use them in accordance with article 10.6 or, for unclaimed Venues, to identify and describe them. Contributions remain the property of their authors.

14.3. OpenStreetMap data and the menu database

Data from OpenStreetMap and data derived from it remain under the ODbL (article 5.7). The menus and prices, with their selection and structure, form a database protected, to the extent permitted by law, by the right of its maker; the extraction or reuse of substantial parts of it, or its repeated and systematic extraction, is prohibited without our consent.

14.4. Your licence to use the Platform

We grant you a limited, non-exclusive, non-transferable and revocable licence to use the Platform and the Apps in accordance with the Terms, for personal use or, as a Professional, for managing the Venue (for the Apps, see also articles 20.2 and 21.2). We grant you no other rights.

14.5. Suggestions

We may use your suggestions for improvement freely, but we do not attribute them to you publicly without your consent.

15. Third-party links and services

The Platform contains links to and integrations with third-party services, which have their own terms and privacy policies: Google Maps, Venues' websites, Instagram pages and booking links, OpenStreetMap and OpenFreeMap maps, Sign in with Google and Sign in with Apple, Stripe (once payments exist), the App Store and Google Play. We do not control these services and are not responsible for their content or practices; a booking on a Venue's website is a relationship between you and the Venue.

16. Availability, changes to the service and support

16.1. Availability

We make reasonable efforts to keep the Platform continuously available, without guaranteeing uninterrupted availability or any service level; it may be temporarily unavailable because of maintenance (as far as possible outside peak hours and announced when significant), emergencies, security incidents, failures of our providers, cyber-attacks or force majeure.

16.2. Changes to the Service

We may add, modify, restrict or withdraw features, for legal, technical or security reasons or to improve the Service. For Consumers, changes that are not needed for conformity are made at no cost and with clear information; if a change affects your access to or use of the Service negatively, in more than a minor way, we notify you by e-mail at least 30 days in advance and you may terminate the contract free of charge within 30 days of the notification or of the change, whichever is later (article 18 of Government Emergency Ordinance no. 141/2021). We announce any substantial reduction of the essential features of the Pro Plan at least 30 days in advance, and the Venue may cancel the plan, with a proportionate refund of the amounts paid in advance.

16.3. Discontinuation of the Platform or of an App

We may permanently discontinue the Platform or an App with at least 60 days' notice, during which you can request your data; amounts paid in advance for the period after discontinuation are refunded proportionately, and Venues remain obliged to honour or refund Prepaid Balances.

16.4. Support

Write to us at [email protected] or call us on +40 746 666 068, on working days. Support does not include legal or tax advice.

17. Liability

17.1. What we undertake

We provide the Service with the care of a reasonable professional and substantially in accordance with the Terms. As a Consumer, you have the statutory guarantee of conformity for digital services (Government Emergency Ordinance no. 141/2021): we bring a non-conforming Service into conformity and, if this is not possible or we do not do so within a reasonable time, you may, in accordance with the law, ask for a price reduction (if you have paid) or for the termination of the contract. We are liable for any lack of conformity that arises during the period of supply, and the burden of proof lies with us, unless your device does not meet the requirements in article 2.5.

17.2. What we cannot guarantee

To the extent permitted by law, we do not guarantee the accuracy or currency of information that comes from Venues, POS systems, the community or public sources, that a Venue will charge a displayed price, the quality of its products or the uninterrupted functioning of the Platform on every device. We are not liable for the acts of Venues, of other Users or of third parties, unless we contributed to them through our own fault; for Content provided by others, we are liable in accordance with article 6 of the DSA, and we act without delay when we become aware that it is illegal.

17.3. Liability to Consumers

We are liable to Consumers in accordance with the law, with no cap other than the statutory one: the loss that was foreseeable when the contract was concluded (article 1533 of the Civil Code) and, in the case of intent or gross negligence, the entire loss. Nothing in the Terms limits your rights as a Consumer.

17.4. Liability to Professionals

To Professionals, to the maximum extent permitted by law: (a) we are not liable for indirect loss, loss of profit, revenue, goodwill, opportunities or data, or for reputational damage, nor for the consequences of errors of the POS, of Stripe, of the app stores or of other third parties, of automatic reading results that were not checked or of the acts of the Venue Team; (b) our total liability to a Venue and its Team, whatever the legal basis, is limited to the amount the Venue paid us in the 12 months preceding the event that gave rise to the loss; (c) for the Free Plan, we are liable only for intent or gross negligence.

17.5. Exceptions

The limitations and exclusions of liability in these Terms, including those in article 10.8, do not apply to intent (dol) and gross negligence (article 1355 of the Civil Code), to death or to harm to physical or mental integrity or to health, to liability that cannot be excluded or limited under mandatory law — including the rights of Consumers under Government Emergency Ordinance no. 34/2014, Government Emergency Ordinance no. 141/2021, Government Ordinance no. 21/1992, Law no. 193/2000 on unfair terms and Law no. 296/2004 on the Consumer Code — or to liability under Regulation (EU) 2016/679 (GDPR), within the limits of article 82 thereof.

17.6. Notification of claims

For Professionals only: the parties agree, under article 2545 et seq. of the Civil Code, a contractual forfeiture (decădere) period of 12 months, running from the date on which the Professional knew or ought to have known of the event giving rise to the claim, within which any claim against us must be notified in writing to the addresses in article 25, failing which the right to raise it is forfeited. This period does not apply to Consumers, nor to claims based on intent (dol), on gross negligence or on rights that cannot be made subject to contractual forfeiture.

18. Indemnity

If you are a Professional, you indemnify us and our directors, employees and contractors against third-party claims (customers, authorities, rights holders, data subjects) and against the reasonable losses, fines and expenses, including legal fees, arising from: a breach of the Terms or of the law by the Venue or its Team; Content published or synchronised by the Venue; an infringement of third-party rights, including of the contract with the POS provider; the processing, without a legal basis, of personal data received through the Platform; disputes over the representation of the Venue; and, once they exist, the Venue's Orders, Prepaid Balances and rewards. We notify you without delay, let you take part in the defence and do not conclude a settlement that binds you without your consent. This obligation does not apply to the extent that the loss is attributable to us, nor to Consumers, who are liable under the general law.

19. Suspension and termination

19.1. Termination by you

You may terminate the contract at any time, without giving reasons and at no cost, by deleting your Account (article 4.4); within the first 14 days, deletion also has the effects of withdrawal from the contract. For Venues, articles 10.13 and 11.5 apply.

19.2. Suspension and restriction

We may immediately suspend or restrict your Account or certain features only in serious cases (fraud, attacks on the Platform or risks to the security of data or of Users), at the request of an authority or in a dispute over the representation of a Venue. For other breaches of the Terms we warn you first (article 13.6). The measure is proportionate, ends when its cause ends and is explained to you in accordance with article 13.4, as a rule before or when it takes effect and, in emergencies, as soon as possible afterwards.

19.3. Termination by us

We may terminate the contract: (a) with at least 30 days' notice, by e-mail, for a legitimate reason, refunding proportionately any amounts paid in advance; (b) immediately, by written notice, without any other formality and without court intervention (express termination clause, article 1553 of the Civil Code), if, after a warning, you repeatedly publish illegal Content or false Contributions, if you use the Platform for fraud, to impersonate someone else or to attack it, if you obtained a claim through false statements, if you create fake or multiple Accounts, or if the suspension under article 19.2 lasts more than 30 days through your fault; (c) for inactive Accounts (article 4.5). For Venues, termination of the whole Service follows article 10.13.

19.4. Effects of termination

On termination, the right to use the Account ends, and the data is deleted or kept in accordance with the Privacy Policy. Provisions which by their nature survive termination remain in force, in particular articles 6.7, 6.8, 10.12, 17, 18 and 22.

20. The iOS app (App Store)

This article applies to the App downloaded from the Apple App Store and used on an Apple device and, for that App, prevails over the other articles.

20.1. Parties to the agreement

You acknowledge and agree that this licence agreement (EULA) is concluded solely between you and MRD TECH HOLDINGS S.R.L., and not with Apple Inc. or its subsidiaries ("Apple"). MRD TECH HOLDINGS S.R.L., and not Apple, is solely responsible for the App and its content. These Terms do not provide for usage rules for the App that conflict with the Apple Media Services Terms and Conditions in force on the date the contract is concluded; you confirm that you have had the opportunity to review them.

20.2. Scope of licence

The licence for the App is limited to a non-transferable licence to use the App on any Apple-branded device that you own or control, as permitted by the Usage Rules set out in the Apple Media Services Terms and Conditions, except that the App may also be accessed and used by other accounts associated with you through Family Sharing or volume purchasing, where these are permitted.

20.3. Maintenance and support

MRD TECH HOLDINGS S.R.L. is solely responsible for the maintenance and support of the App, as specified in the Terms (article 16.4) or as required by law. You acknowledge that Apple has no obligation whatsoever to furnish any maintenance or support services with respect to the App.

20.4. Warranty

MRD TECH HOLDINGS S.R.L. is solely responsible for any warranty relating to the App, whether express or implied by law, to the extent not effectively disclaimed. If the App fails to conform to any applicable warranty, you may notify Apple, and Apple will refund to you the price paid for the App, if any; to the maximum extent permitted by law, Apple will have no other warranty obligation whatsoever with respect to the App, and any other claims, losses, liabilities, damages, costs or expenses attributable to any failure to conform to any warranty are the sole responsibility of MRD TECH HOLDINGS S.R.L., not Apple.

20.5. Product claims

MRD TECH HOLDINGS S.R.L., and not Apple, is responsible for addressing any claims by you or by any third party relating to the App or to your possession and use of it, including: (i) product liability claims; (ii) any claim that the App fails to conform to any applicable legal or regulatory requirement; (iii) claims arising under consumer protection, privacy or similar legislation.

20.6. Intellectual property rights

If a third party claims that the App, or your possession and use of the App, infringes that third party's intellectual property rights, MRD TECH HOLDINGS S.R.L., and not Apple, is solely responsible for the investigation, defence, settlement and discharge of the claim.

20.7. Legal compliance

You represent and warrant that (i) you are not located in a country that is subject to a U.S. Government embargo, or that has been designated by the U.S. Government as a "terrorist supporting" country, and (ii) you are not listed on any U.S. Government list of prohibited or restricted parties.

20.8. Developer contact details

Any questions, complaints or claims with respect to the App should be directed to MRD TECH HOLDINGS S.R.L., Str. Covasna nr. 17, Bl. F3, Sc. 1, Et. 2, Ap. 6, Sector 4, 041673 București, România; e-mail: [email protected]; telephone: +40 746 666 068.

20.9. Third-party terms

When using the App, you must comply with the applicable third-party terms, for example your agreement with your wireless data service provider, Apple's terms and the terms of the integrated services.

20.10. Third-party beneficiary

You acknowledge and agree that Apple and Apple's subsidiaries are third-party beneficiaries of this agreement and that, upon your acceptance of the Terms, Apple will have the right (and will be deemed to have accepted the right) to enforce this agreement against you as a third-party beneficiary thereof.

20.11. Payments, Content and Account deletion

The App is free and contains no in-app purchases. Top-ups and Orders, once they exist, are payments for goods and services consumed at the Venue, processed through Stripe, not through the App Store; the Pro Plan cannot be bought from the App. You accept the rules for Contributions (articles 6.2 and 13.1) together with the Terms, before you can send Contributions; you can report illegal or abusive Content (article 13.3), and we may suspend or close Accounts that break the rules. You can delete your Account directly from the App.

21. The Android app (Google Play)

21.1. Parties to the agreement

When you download the App from Google Play, the agreement is concluded solely between you and MRD TECH HOLDINGS S.R.L., and not with Google Ireland Limited, Google LLC or their affiliates ("Google"). Google is not responsible for the App, its content, maintenance or support, warranties or claims relating to the App, which are the sole responsibility of MRD TECH HOLDINGS S.R.L., not Google. Use of the App is also subject to the Google Play Terms of Service.

21.2. Licence

The licence for the App is non-transferable and allows you to use it on Android devices that you own or control, in accordance with these Terms and the Google Play Terms of Service.

21.3. Payments and other rules

The Android App is free and does not use Google Play billing: Top-ups and Orders, once they exist, go through Stripe, and the Pro Plan cannot be bought from the App. The contact details in article 20.8 and the rules in article 20.11 also apply to this App.

22. Governing law and dispute resolution

22.1. Governing law

The Terms are governed by Romanian law. A Consumer habitually resident in another country retains the protection of the mandatory provisions of the law of that country (article 6(2) of Regulation (EC) No 593/2008, "Rome I").

22.2. Complaints and amicable settlement

Send us your complaints at [email protected] or by telephone on +40 746 666 068; we confirm receipt, reply within 30 calendar days at most and try to settle any disagreement amicably.

22.3. Competent courts

Disputes with Consumers fall within the jurisdiction of the courts determined by law: you can also sue us in the court of your domicile, and we can sue you only there; any clause to the contrary does not apply (article 126(2) of the Code of Civil Procedure). Disputes with Professionals that are not settled amicably within 30 days of written notice fall within the exclusive jurisdiction of the courts of Bucharest.

22.4. ANPC and alternative dispute resolution

Consumers may contact the National Authority for Consumer Protection (ANPC) (www.anpc.ro, „Telefonul consumatorilor” ("the Consumer Helpline") 021 9551). If your complaint to us has not been resolved, you can use alternative dispute resolution (ADR), under Government Ordinance no. 38/2015, through the platform reclamatiisal.anpc.ro, and mediation, under Law no. 192/2006. We have not committed in advance to take part in the procedures of any particular ADR entity, but we will consider any request in good faith. The European online dispute resolution platform, established by Regulation (EU) No 524/2013, was discontinued by Regulation (EU) 2024/3228; requests are to be addressed to the national ADR entities.

23. Amendment of the Terms

23.1. Reasons

We may amend the Terms for valid reasons: changes in legislation or in the requirements of authorities or app stores, new or changed features (including those in article 3.4), other providers, security or clarifications.

23.2. How we notify you

We announce significant amendments by e-mail and/or in your Account or in the App at least 15 days in advance, and amendments that negatively affect your access to or use of the Service at least 30 days in advance; until then you can delete your Account free of charge. Amendments required by law, necessary for security or entirely in your favour may apply immediately. If you do not close your Account, the new version applies from the date announced.

23.3. Venues

We notify Claimed Venues of any amendment by e-mail at least 15 days in advance or, where the amendment requires significant technical or commercial adaptations, with a longer, proportionate period. The Venue may end the relationship before the period expires; if, in the meantime, it accepts the amendment, by a written statement or a clear action, it waives the period. The exceptions for legal obligations and imminent threats to security apply (article 3(4) of the P2B Regulation).

23.4. No retroactive effect

Amendments are not retroactive: contracts concluded and rights acquired beforehand remain governed by the version in force at the time, except where the law requires otherwise or where this is in your favour. The version in force is always published, with its date, on the Termeni și condiții (Terms and Conditions) page.

24. Final provisions

24.1. Force majeure

Neither party is liable for failure to perform its obligations, other than payment obligations, caused by force majeure or a fortuitous event (article 1351 of the Civil Code), for example disasters, war, epidemics, large-scale cyber-attacks, failures of power or communication networks, or acts of authorities.

24.2. Assignment

You may not assign the contract without our written consent. We may assign it only to an affiliated company or to a successor (reorganisation, merger, sale of assets), with prior notice to you and without reducing your rights and guarantees; if you do not agree, you may terminate the contract.

24.3. Subcontracting

We may use providers and subcontractors, and we remain liable to you in accordance with the Terms.

24.4. Severability and waiver

A void or unenforceable clause does not affect the others and is replaced by a valid clause as close as possible to its purpose. Failure to exercise a right does not constitute a waiver of it.

24.5. Entire agreement

The Terms, together with the documents referred to in article 2.4, constitute the entire agreement between us on their subject matter and replace, for the future, the previous versions.

24.6. Clauses expressly accepted by Professionals

If you are a Professional, you declare that you have read, understood and expressly accept, within the meaning of article 1203 of the Civil Code, the standard clauses in: article 4.2 (suspension of access to a compromised Account), article 4.5 (closure of inactive Accounts), article 10.3 (refusal, suspension or cancellation of a claim), article 10.8 (liability for the POS), article 10.13 (restriction, suspension and termination of the Service for a Venue), article 11.5 (automatic renewal of the Pro Plan), article 11.6 (suspension for non-payment), article 11.7 (price changes), article 13.2 (moderation measures), article 13.6 (misuse), article 16.3 (discontinuation of the Platform), article 17.4 (limitation of liability), article 17.6 (forfeiture), article 18 (indemnity), article 19.2 (suspension), article 19.3 (termination by us), article 22.1 (governing law), article 22.3 (the courts of Bucharest) and article 23.3 (amendment of the Terms for Venues). You give this acceptance separately from the rest of the Terms, in writing, including electronically (for example, by ticking a separate box, not ticked in advance, that refers to this article), and the clauses above are enforceable against you only after you have given it.

24.7. Notices

We send you notices by e-mail, to the address of your Account, or through notifications in your Account or in the App, and they are deemed received on the following working day; keep a valid e-mail address. You write to us at the addresses in article 25.

24.8. Language

The Terms are drawn up in Romanian, which is the binding version; the English version is informative, and in the event of any inconsistency the Romanian version prevails.

24.9. Personal data

The processing of your data is described in the Privacy Policy, and cookies in the Cookie Policy (in Romanian).
